My practice also includes the representation of investors and producers of theatrical productions and handling the underlying investment agreements and the acquisition of literary and any grand rights for the production, as well as agreements with or for directors, choreographers, and actors. These services include matters, such as:
  • Securing the underlying rights to original works or representing the owner of the original work that will be the basis of the theatrical production

  • Engaging and representing playwrights and lyricists

  • Representing producers and co-producers

  • Obtaining all necessary small, dramatic and grand music rights

  • Copyright protection and licensing of plays

  • Financial arrangements for the theatrical production, including the negotiation for front money and pre-capitalization investors, formation of investment entities and third party investors, in compliance with applicable securities laws, and negotiation of producer’s share

  • Engagement or representation of directors, choreographers, lead performers, designers, musicians, and crew

  • Compliance with compliance with Actors’ Equity Association rules and consideration of Dramatists Guild requirements

  • Venue arrangements

This representation includes, among other things, preparing and negotiating:
  • Literary and other rights acquisitions and licenses

  • Collaboration agreements between book authors, playwrights, and lyrists

  • Production Contracts between Producers and playwright

  • Agreements to acquire grand rights/ dramatic performance rights to music

  • Front money/pre-capitalization agreements

  • Producer investment agreements, including entity formation and offering documents for investors

  • General manager agreements

  • Director and choreographer agreements

  • Star actor agreements

  • Cast album agreements

  • Theater venue licenses

  • Road show licensing

  • Agreements with motion picture studios and theatrical production companies
