My representation of copyright holders, actors, directors, producers, and distributors covers the full range of agreements and relationships necessary to take an original work or a reality concept from acquisition or creation of the underlying literary work to the final production and distribution of a film, television or internet production, including compliance with respect to applicable union and guild requirements. These services include matters, such as:
  • Securing the underlying rights to original works or representing the owner of the original work, and assisting in review of the chain of title

  • Engagement of screenwriters, producers, directors, performers, and compliance with applicable union and guild requirements

  • Financial arrangements for the production of the project, including third party investors and lenders, as well a completion bond guaranties

  • Compliance with respect to applicable union and guild requirements

  • A wide array of production and post-production matters

  • Copyright protection and licensing of the film or television production

  • Distribution arrangements, both domestic and foreign, and syndication arrangements for television

This representation includes, among other things, preparing and negotiating:
  • Literary option and purchase agreements, and other rights acquisitions, including life story rights and those relating to reality television

  • Agreements with or on behalf of screenwriters, producers, directors, and performers, including, reality show contestant agreements

  • Investment documents in compliance with SEC rules and regulations

  • Financing documents, including primary loans with financial institutions GAP and bridge loans, negative pick-ups, and analysis and monetization of state tax incentives and rebates

  • Producer shopping agreements and other production company agreements, including co-production deals

  • Completion bond guaranty bond arrangements and documentation

  • Film and television production agreements

  • Location agreements

  • Clearances and releases for copyrights, trademarks, other intellectual property rights, and rights of publicity used in the project, including the use of music and locations

  • Distribution agreements with distributors, agreements with producer representatives and selling agents, and split rights arrangements between producers and financiers

  • Television pilot agreement/series option agreements

  • Television series writer/director agreement

  • Television syndication agreements and television program distribution agreements

With my experience in securities law and other financing transactions, I am able to assist his clients in navigating the complex securities laws when third-party investors are included as part of the project financing.

In additional to these specific agreements, I also represent artists and talent and the professionals who work with them in the preparation and negotiation of contractual business arrangements that are generally applicable in connection with the representation of artists.
